Wojciech Babicki

Wojciech Babicki is a licensed attorney (adwokat) and the managing partner of Miller Canfield’s Polish offices and co-founder of the firm's offices in Poland. He received his law degree from the University of Gdańsk in 1981, followed by the studies at the faculty of English. He speaks fluent English. Prior to joining the firm, Wojciech Babicki was a sole practitioner in Gdańsk.  In 1989-90 he served as a legal advisor to the Solidarity Trade Union and its Economic Fund and Economic Foundation. He is a member of the Polish Bar Association for Northern Poland and a lecturer on commercial law. He is also an arbitrator with the Commercial Court of Arbitration and serves on the supervisory boards of several companies, including a Polish bank. Mr. Babicki focuses his professional practice on Polish commercial law, with a special emphasis on tax, antitrust, banking and product liability. He is the author of publications on banking law and theory of law.

   
   

Dr. Andrzej Chełchowski

Dr. Andrzej Chełchowski is a licensed Polish legal advisor (radca prawny), partner and the managing director of the firm’s Warsaw office. He received his law degree from  Warsaw University in 1992. Prior to joining Miller Canfield, Mr. Chełchowski advised the Ministry of Privatization as a member of the joint legal team of Pro-Invest and Arthur Andersen on the initial stages of privatizing Polish enterprises. He also provides legal advice and lectures on municipal financing, including municipal bonds. Andrzej Chełchowski has participated in numerous projects connected with harmonizing Poland’s laws with those of the European Union. Mr. Chełchowski is an expert in real estate development and property law, as well as in Polish commercial law in general. He is fluent in English.

   
   

Andrzej Czopski

Andrzej Czopski is a licensed legal advisor (radca prawny) and the partner and has been with Miller Canfield's Gdynia office for over ten years. He graduated from Gdańsk University in 1992. He specializes in business and labor law, including legal issues related to the status of foreign nationals in Poland. Mr. Czopski has been involved in many foreign investment projects in Poland. Since 1998 Andrzej Czopski has collaborated with the American Bar Association (Section of Labor and Employment Law) and BNA Books, a law publishing house. He is the co-author of International Labor and Employment Laws, Volume II, published in the United States. Andrzej Czopski is fluent in English and Russian.

   
   

Dr. Konrad B. Marciniuk

Dr. Konrad B. Marciniuk is a licensed legal advisor (radca prawny) and the partner in the firm’s Warsaw office. He graduated from Warsaw University in 1994. Konrad Marciniuk is a legal specialist on Polish commercial law, including joint ventures, real estate and commercial development transactions as well as property financing schemes. His key experience includes property acquisition and shopping centre development schemes for a market leader in Poland. Mr Marciniuk has also advised major industrial developers on EPC contracts. Mr. Marciniuk is also an expert on the European Union legal system and the ongoing harmonization of Polish law with that of the EU. Konrad Marciniuk is a lecturer of law at the University of Warsaw. Richard A. Walawender

Richard A. Walawender is a principal of the firm and co-founder of the firm's offices in Poland. He speaks Polish fluently and has extensive experience in public and private finance, commercial law, corporate governance and banking law. He is the head of the firm’s International Business Practice Group. While finishing his degree in Russian and East European Studies at the University of Michigan, Mr. Walawender attended Jagiellonian University in Kraków in 1981. When Solidarity came to power in Poland in 1989, Solidarity asked Mr. Walawender to advise the new government on establishing a bond program. He graduated from the University of Michigan Law School in 1986, and received his bachelor's and post-graduate degrees from the University of Michigan, specializing in Eastern European Studies. Mr. Walawender frequently lectures on Polish business law topics and has served as a National Director of the Polish American Congress. He is also a member of the International Bar Association, the American Bar Association and the State Bar of Michigan, as well as serving on the supervisory boards of several Polish companies.

     
   
 

Tomasz Bielenik

Tomasz Bielenik is a licensed tax advisor in the firm’s Warsaw office. He graduated from the University of Białystok, Faculty of Law.
He specializes in tax law, real estate law and the development of real property, as well as in any type of civil law contracts connected with conducting business activity.
His experience includes tax litigation, tax advising connected with land acquisitions and subsequent stages of development process. His practice includes also due diligence projects with a particular focus on real estate title check. Tomasz Bielenik speaks English.

     
   

Aleksander Deptuła

Aleksander Deptuła is a licensed attorney (adwokat) in the firm's Gdynia office. He graduated from the University of Gdańsk in 1998 and also studied English and European Law at the course organized by the University of Cambridge. In the years 1998-2001 Aleksander Deptuła completed the judge traineeship at the Regional Court in Gdańsk and passed the state judge exam. Aleksander Deptuła specializes in environmental law, intellectual property law, telecommunication law and mergers and acquisitions. Mr. Deptuła is fluent in English and French.

Marcin Duda is a licensed legal advisor in the firm’s Warsaw office. He graduated from Gdańsk University, Faculty of Law and Administration in 2002. He also interned at the international law firm Holland & Knight in New York. He specializes in real estate and project finance regarding acquisition and development of real estate. His experience includes advising foreign investors on site acquisition as well as further stages of development process. He also participated in large due diligence projects with a particular focus on real estate title check. His experience includes also advising domestic and foreign banks, financial institutions and investors on designing, implementation and establishing security for financial instruments on every stage of investment process. Paul B. Fogo

Paul Fogo is a licensed American attorney with extensive experience in the real estate and foreign investment sectors. Before joining Miller Canfield in 2002, Paul Fogo was associated with the Warsaw office of Hunton and Williams, advising foreign companies on all aspects of establishing their operations in Poland, including the creation of joint-venture companies, the negotiation of technology licensing agreements, purchase of real property and the drafting of share purchase agreements. He received his law degree from the Columbus School of Law at the Catholic University of America in Washington, DC in 1998. While finishing his law degree, he studied Polish commercial law at Jagiellonian University in Kraków. Prior to entering law school Paul Fogo worked for ten years as a real estate agent in Washington, DC.

Marcin Jakubaszek is a licensed legal advisor (radca prawny) in the firm’s Warsaw office. He graduated from Warsaw University in 1999. In 1998 he completed a program on English and European Law sponsored by the University of Cambridge. Marcin Jakubaszek specializes in real property, M&A, corporate and commercial law. He has practical knowledge of real property investment processes, including development of real property through commercial, residential and infrastructure investments, as well as practical knowledge of corporate law, commercialization and privatization of state-owned entities and M&A transactions. Kalina Jarosławska is a licensed legal advisor (radca prawny), of counsel with the firm's Gdynia office. She graduated from Gdańsk University, Faculty of Law and Administration, in 2003. In the same year she completed a course of the English and European Union law organized by Cambridge University in co-operation with the University of Gdańsk. She specializes in labor and tax law, as well as in civil law. Her interests also cover issues in the field of administrative law and proceedings before administrative courts. Dr. Andrzej Kiedrzyn is a licensed legal advisor (radca prawny) in the firm's Warsaw office. He graduated from Jagiellonian University in Cracow in 1982. He obtained his doctorate degree in law at Jagiellonian University in 1990. From 1990-1991 Andrzej Kiedrzyn served as Vice-Consul at the Polish Consulate in New York and from 1991-1994 as First Secretary (consul) of the Consular Department at the Polish Embassy in Washington, D.C. From 1994-1995 he was a head of this department. In 1991, as a member of the Polish governmental delegation, he participated in the United Nations conference on settlements of international conflicts and the United Nations conference on Sea-Bed Organization. Andrzej Kiedrzyn specializes in international public and private law, administrative (environmental protection law) and civil law, litigation and carriage law issues. Anna Kowalczyk-Pogorzelska is a licensed legal advisor (radca prawny) in the firm’s Warsaw office. She graduated from Warsaw University in 1998. In the same year she completed the studies on English and European Law organized by the University of Cambridge. Anna Kowalczyk-Pogorzelska specializes in real estate, commercial and administration law. Her experience includes advising a variety of foreign and Polish investors on site acquisition and financing, lease of land and buildings, execution of other kinds of civil contracts as well as advising domestic and foreign banks, financial institutions and investors on establishing security for financial instruments on different stages of investment process. She also participated in the process of privatization of the state owned entities and assisted in several major due diligence projects within the privatization and mergers and acquisition transactions, with particular focus on real estate title check. In addition, she is well acquainted with the administrative procedure to be followed by foreigners to obtain a license of the Minister of Internal Affairs and Administration necessary for real estate acquisition in Poland. Karolina Niemirska-Fido specializes in commercial law, as well as bankruptcy and real estate law. She has many years of experience in advising Polish and foreign clients conducting business in Poland, in particular on land acquisitions, including the lease of developed and undeveloped real property, as well as the development of real property, in addition to drafting and negotiating civil law contracts related to the corporate operations.  She has also been involved in the privatization of stated owned entities and performed numerous due diligence investigations. Kazimierz Romaniec is a licensed legal advisor (radca prawny) in the firm’s Warsaw office. He graduated from Jagiellonian University in Kraków in 1993. Between 1994 and 1998 he worked in the Tax Department at Arthur Andersen in Warsaw, where he was involved in drafting the tax structures of Polish and foreign companies operating in Poland. From 1998-2000 he worked at Dewey Ballantine in Warsaw, concentrating on tax, commercial and real estate law. Monika Tomczak-Górlikowska

Monika Tomczak-Górlikowska is a licensed attorney (adwokat) in the firm’s Gdynia office. In addition to the law studies that she completed at the University of Gdańsk in 1997, she also studied European Union law at the University of Lyon, France, and at the Law Department of the College of Europe in Brugge, Belgium, where she obtained her Master of European Law degree (LLM). She specializes in competition law, EU law, banking law, pharmaceutical legislation, intellectual property law, as well as in personal data protection. Between 2002-2003 Monika Tomczak-Górlikowska worked in the Legal Service of the General Secretariat of the Council of the European Union in Brussels, drafting the Treaty of Accession of Poland and other candidate countries to the European Union and finalizing the EU legislation to be published in Polish. She is fluent in English, French, Spanish and Portuguese.
